（1）本公司業經民國 114 年 8 月 8 日董事會決議通過將本公司電池及電池交換站事業之相關營業（含資產、負債及員工）分割移轉至與本公司同屬 Gogoro 集團之英屬開曼群島商睿能新動力股份有限公司（Gogoro Network）之台灣分公司（全名：英屬開曼群島商睿能新動力股份有限公司台灣分公司），並暫定以民國 115 年 1 月 1 日為分割基準日。
Pursuant to the resolution approved by the Board of Directors on August 8, 2025, the Company has resolved to spinoff and transfer its battery and battery swapping station business (including related assets, liabilities and employees) to the Taiwan Branch of Gogoro Network Ltd., a company incorporated in the Cayman Islands and part of the Gogoro Group (Import Export Vendor Name registered in Taiwan government: Gogoro Network (Cayman), Taiwan Branch). The reference date of the spinoff is tentatively set as January 1, 202
（2）本公司各債權人對本次分割如有異議，請自本公告日起至民國 114 年 9 月 16 日止之期限內，檢附相關債權證明文件，以書面方式親交或郵寄（郵寄以郵戳為憑；郵寄地址提供如下）向本公司提出，逾期未提出表示異議，即視為無異議。
If any creditors of the Company have objections to this spinoff, they must submit a written objection, along with supporting documentation of their claim, in person or by mail (postal submissions shall be based on the postmark date), during the period from the date of this announcement until September 16, 2025. Failure to submit objections within this period will be deemed as no objection.
